Instructions of new approval process of three kinds of investment enterprises

Merchants Bureau of Dalian Hi-tech Industrial Zone is in charge of approval of encouraged projects of the zone and three kinds of investment enterprises with total investment under 30 million USD.

Specific steps are as follows:

For project setting approval and enterprise establishment approval, please submit the following documents:

1. The application report of project setting (one original);

2. The application of the project (one original);

3. The feasibility study report (one copy, including project background, overview of the foreign merchant and foreign-funded enterprise, project market analysis, project design, production and management, financing and analysis as well as economic benefit analysis, etc.);

4. The application report of enterprise establishment (one original);

5. For exclusively foreign-owned enterprises, please submit the establishment application form of the foreign-funded enterprise (one original); for Sino-foreign joint venture and cooperative enterprises, please submit the project proposal of the Sino-foreign joint venture and cooperative enterprise (one original);

6. For Sino-foreign joint venture and cooperative enterprises, please submit the contract of foreign-funded enterprise (one copy);

7. Articles of incorporation of the foreign-funded enterprise (one copy) ;

8. Business license of the foreign enterprise (one copy; personal investment is for investor’s identity proof ); Sino-foreign joint venture and cooperative enterprises are required to submit the business license of Chinese enterprise (one copy, with industrial and commercial bureau sealed);

9. The notarization and certification documents (one copy) of investment qualification of the investor, and foreign enterprise’s credit certification (one copy, personal investment is for deposit proof); Sino-foreign joint venture and cooperative enterprise are required to submit credit certification of Chinese enterprise (one copy);

10. List of the first board members (one copy);

11. For exclusively foreign-owned enterprises, please submit the director delegating paper (one copy); for Sino-foreign joint venture and cooperative enterprises, please submit all parties’ director delegating papers (one copy);

12. Name registration form of foreign-invested enterprise approved by the Municipal Industrial and Commercial Bureau (one copy);

13. Certification of housing use or certification of land location (one copy).

Get the approval certificate, and handle business license and tax registration formalities.
